Corporate Governance

The Dutch Government introduced a code of conduct to which all public listed companies must comply. This Corporate Governance Code is also known in The Netherlands as the ‘Code Tabaksblat’. Holland Metrology has incorporated relevant parts of this code into their company’s code of conduct.

The reason for this is that the ‘Tabaksblat’ code defines a running enterprise as a long-term collaboration between all parties involved: employees, shareholders and other financiers, suppliers, customers as well as the authorities and civil society. Effective cooperation and a successful working relationship is based on the trust that these parties place in a company to look after their interests. Another essential condition for this trust is effective management of the company which incorporates integrity and transparent dealings and the monitoring thereof.

The elements of our governance structure are:

Statutes
Statutes of Holland Metrology, VSL, NMi Certin, NMi Nederland, NMi Italia and Verispect.

Whistle-blowing code
This regulation allows employees of Holland Metrology and their associated companies to report alleged irregularities within NMi, VSL en Verispect through a special procedure that protects the whistle-blower and guarantees the confidential handling of the report.

Complaints procedure
The complaints procedure offers each individual employee the possibility to express his/her dissatisfaction and/or grievances and to ensure that these complaints will be investigated and resolved in a quick and fair manner while guaranteeing the protection of the individual’s interests.

Employee code of conduct
The reputation of Holland Metrology stands or falls with the conduct of its employees. Each employee should contribute to the upkeep of the company’s reputation as set out in this code.

Holland Metrology’s code of conduct
This code determines that the integrity of the company is essential in all our activities and should not be undermined for the sake of results. We will execute our activities with integrity, sincerity and transparency, while respecting the interests of our business partners and society in general. This code also applies to all Holland Metrology’s associated companies.
